Law firm launches ‘comprehensive’ M&A guide on Vietnam | China Breaking News | Top Stories | Political | Business | Entertainment

The Frasers Law Company launched the second edition of its Frasers Vietnam Mergers Acquisitions Guide in HCM City on Tuesday.

The guide provides the most comprehensive and up-to-date regulatory focused MA guide in the country, it said, calling it “arguably the most scintillating read of 2022 for people interested in MA transactions in the country.”

The guide focuses on key regulatory considerations that need to be considered in concluding a successful MA deal in Vietnam.

In particular, it focuses on the key legislations, types of Vietnam targets, buyer characterisation, target sectors, foreign ownership restrictions, key State approvals, foreign exchange controls, taxation, structuring, intra-Vietnam equity capital raisings, governing law, dispute resolution, legal due diligence in Vietnam, other jurisdiction-specific factors and public company-specific factors.

Global mergers and acquisitions (MA) hit new highs in 2021, breaking all previous records despite the impacts of the pandemic.

With Vietnam presents a vibrant and ever-expanding mergers and acquisitions market in relation to both public and private target companies, opportunities are available, across the full spectrum of industry sectors, the guide says.

It says that the Vietnamese government continues to foster the MA market by enhancing regulatory, administrative, and bureaucratic reforms for the benefit of both domestic and foreign investors.

Frasers organised a seminar to mark the launching of the guide. It was attended by experts from leading international and local companies in various industries and in-house MA practitioners.

The company said that last year, it was involved in advising clients on 85 matters related to MA transactions in Vietnam across a broad spectrum of industries and sectors.
